Terms of Service
1Introduction
These Terms of Service (“Terms”) form a binding agreement between you and Monorail Protocol Limited, a company registered in the British Virgin Islands at Quijano Chambers, Road Town, Tortola, British Virgin Islands 3159 (“Monorail,” “we,” “us,” or “our”). They govern your use of monorail.xyz and related interfaces, APIs, applications, campaigns, and services that we provide (the “Service”).
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2What Monorail is
Monorail is a non-custodial swap aggregation and routing interface for the Monad blockchain. It can combine liquidity from automated market makers, on-chain order books, request-for-quote providers, bonding curves, and other on-chain sources.
- Non-custodial. You connect and control your own wallet. We do not hold your funds or have access to your private keys or seed phrase.
- Routing interface. The Service obtains quotes and prepares transactions for routes that can use Monorail smart contracts and third-party protocols. You approve and sign each transaction with your wallet.
- Not a financial intermediary. Monorail is not a bank, broker, dealer, exchange, custodian, investment adviser, fiduciary, or counterparty to your swaps.
- Independent services. Monad, wallets, tokens, liquidity sources, bridges, and other integrated services are operated by third parties and have their own terms.
3Eligibility
By using the Service, you confirm that:
- you are at least 18 years old and have legal capacity to accept these Terms;
- you are not subject to sanctions and are not located in a jurisdiction where your use of the Service is prohibited;
- you will use the Service only for lawful purposes and in accordance with laws that apply to you; and
- you are not acting for a sanctioned person or prohibited entity.
You are responsible for deciding whether your use of the Service and any token or transaction is legal in your jurisdiction.
4Restricted access and sanctions
You may not use the Service if applicable law, sanctions, embargoes, or other restrictions prohibit us from providing it to you or prohibit you from using it. This includes persons and territories subject to sanctions administered by the United Nations, United Kingdom, European Union, United States, or another authority that applies to Monorail.
You may not use a VPN, proxy, false information, or another method to bypass access controls. We can restrict access where we reasonably believe that a legal or sanctions risk exists.
5Wallets and linked accounts
You connect a supported wallet to use transaction features. Some features can require you to prove control of a wallet by signing an authentication message. Optional profiles, campaigns, or other features can also let you connect a third-party identity, such as an X account.
You are responsible for:
- protecting your wallet, device, private keys, seed phrase, credentials, and linked accounts;
- checking that transaction details are correct before you sign;
- all activity authorized through your wallet; and
- keeping information that you provide accurate.
We cannot recover a private key, reverse a blockchain transaction, or restore funds lost through your wallet. Tell us promptly if you believe a Monorail profile or linked identity has been used without permission.
6Quotes, fees, and taxes
A quote can include a Monorail routing or protocol fee. We display applicable Monorail fees in the transaction interface before you sign. Fees can change between quotes and can be changed for future transactions.
You are also responsible for blockchain gas, price impact, liquidity-provider fees, bridge fees, wallet fees, and other third-party costs. A quote can expire or change before execution. You are responsible for taxes, duties, reporting, and other obligations related to your activity.
7Acceptable use
You must not:
- break a law, regulation, these Terms, or a third party's rights;
- use the Service for fraud, money laundering, sanctions evasion, market manipulation, wash trading, or another illicit purpose;
- bypass security, rate limits, access controls, or geographic restrictions;
- gain unauthorized access to the Service, its infrastructure, or another user's profile;
- interfere with the Service or place an unreasonable load on it;
- use unauthorized bots, scrapers, or automated systems;
- reverse engineer the Service except where applicable law does not permit this restriction; or
- impersonate another person or misrepresent your identity or location.
Automation and programmatic access are permitted only through interfaces and permissions that we provide or approve.
8Transactions and availability
The Service prepares and submits transactions for execution on Monad. A transaction becomes effective only according to the relevant smart contracts and the Monad network. We do not guarantee that a quote or transaction will be accepted, included, completed, or completed at an expected price or time.
Execution can be affected by slippage, liquidity changes, price movement, gas, failed simulations, RPC failures, validators, network congestion, reorganizations, token behavior, smart contracts, and third-party services. You authorize a transaction when you sign it.
We can change, suspend, restrict, or discontinue any part of the Service for maintenance, security, legal, technical, or operational reasons.
9Tokens and third-party services
The presence of a token, route, protocol, wallet, bridge, or other service in Monorail is not an endorsement or guarantee. Tokens and integrated services are controlled by their issuers, users, governance systems, or operators, not by Monorail.
You must review and accept the terms and risks of third-party services that you use. We are not responsible for their content, security, availability, actions, fees, or performance.
10Information and no advice
Prices, routes, charts, token information, transaction histories, analytics, rankings, prompts, and other content are for information and product operation only. They are not financial, investment, legal, tax, or accounting advice and are not a recommendation or solicitation to buy, sell, or hold an asset.
Information can be delayed, incomplete, or incorrect. You must review each transaction and make your own decision. Past performance does not predict future results.
11Public blockchain and profile information
Wallet addresses and blockchain transactions are public. The Service can display wallet addresses, linked public usernames, activity, scores, ranks, rewards, and metrics derived from blockchain data. By using a public or campaign feature, you agree that we can display the information needed to operate that feature, as described in our Privacy Policy.
12Campaigns, rewards, and referrals
We can offer campaigns, rewards, leaderboards, referrals, or promotions under additional rules. Those rules supplement these Terms. If campaign rules conflict with these Terms about that campaign, the campaign rules apply to that issue.
We can verify eligibility, correct errors, reject fraudulent activity, disqualify participants, withhold rewards where legally required, and change or cancel a campaign as its rules permit. Referral abuse, fake identities, coordinated manipulation, and self-referral schemes are prohibited.
13Intellectual property
The Service, including its design, branding, text, interfaces, and software, is owned by Monorail or its licensors and is protected by intellectual-property laws. Open-source components remain subject to their applicable licenses.
We grant you a limited, personal, non-exclusive, non-transferable, and revocable right to use the Service under these Terms. “Monorail,” its logos, and related marks are Monorail trademarks and cannot be used without prior written permission.
14Digital-asset risk disclosure
Digital assets and decentralized systems involve substantial risk. These risks include:
- Total loss. A token or transaction can lose all value.
- Volatility and liquidity. Prices can change sharply, liquidity can disappear, and execution can differ from a quote.
- Token risk. Tokens can contain harmful code, transfer restrictions, taxes, supply changes, or misleading information.
- Smart-contract risk. Contracts and protocols can have errors, vulnerabilities, exploits, or harmful governance changes.
- Blockchain risk. Monad can experience congestion, fee changes, reorganizations, validator failures, upgrades, or downtime.
- Routing and third-party risk. A route can depend on several contracts, liquidity sources, RPC services, relayers, bridges, or market makers.
- Wallet risk. A lost or compromised key, seed phrase, device, or approval can cause permanent loss.
- Regulatory and tax risk. Laws, enforcement, and tax treatment can change or differ by location.
You accept these and other risks when you use the Service.
15Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we exclude all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, security, availability, and uninterrupted operation.
We do not warrant that the Service will be error-free or secure, that information or quotes will be accurate or current, or that a transaction will execute or produce an expected result.
16Limitation of liability
To the maximum extent permitted by law, Monorail and its officers, directors, employees, affiliates, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, opportunity, assets, or trading losses, under any legal theory.
Our total liability for all claims related to the Service or these Terms will not exceed the greater of the fees you paid directly to Monorail during the 12 months before the event that caused the claim or USD 100.
Where applicable law does not permit an exclusion or limit, it applies only to the fullest extent permitted by that law.
17Indemnification
You agree to indemnify, defend, and hold harmless Monorail and its officers, directors, employees, affiliates, contractors, and agents from claims, damages, losses, liabilities, costs, and reasonable legal fees that arise from your use or misuse of the Service, your transactions, your breach of these Terms, or your violation of law or a third party's rights.
18Suspension and termination
We can suspend, restrict, or terminate your access where we reasonably believe that you breached these Terms, created a security or legal risk, abused the Service, or are subject to restricted access. We can also discontinue the Service.
Because the Service is non-custodial, restricting the interface does not transfer ownership of your wallet or funds to Monorail. You remain responsible for using your wallet and available blockchain tools. We cannot guarantee that a third-party interface or protocol remains available.
You can stop using the Service at any time. Provisions that must continue by their nature, including intellectual property, risks, disclaimers, liability, indemnification, disputes, and miscellaneous terms, survive termination.
19Governing law
These Terms and non-contractual obligations connected with them are governed by the laws of the British Virgin Islands, without regard to conflict-of-law rules.
20Disputes and arbitration
Please read this section carefully. It affects your legal rights.
20.1 Informal resolution
Before starting arbitration, a party must send a written description of the dispute to [email protected] and try in good faith to resolve it for at least 30 days.
20.2 Binding arbitration
Any dispute, controversy, or claim that arises from or relates to these Terms or the Service will be finally resolved by arbitration administered by the BVI International Arbitration Centre under the BVI IAC Arbitration Rules in force when the arbitration starts.
- The number of arbitrators will be one.
- The place and legal seat will be Road Town, Tortola, British Virgin Islands.
- The arbitration language will be English.
- The award will be final and binding and can be enforced by a court with jurisdiction.
20.3 Individual claims
To the extent permitted by law, disputes must be brought only on an individual basis. You and Monorail waive participation in a class, collective, consolidated, or representative action.
20.4 Exceptions
Either party can ask a court with jurisdiction for urgent injunctive or equitable relief to protect intellectual-property rights, confidential information, security, or against unauthorized use of the Service.
21Force majeure
Monorail is not liable for a failure, delay, or unintended outcome caused by an event outside our reasonable control. Such events include natural disasters, war, civil unrest, government action, sanctions, changes in law, internet or power failures, cyberattacks, network congestion or downtime, validator behavior, blockchain reorganizations, smart-contract failures, token behavior, and failures of wallets, RPC providers, liquidity sources, bridges, market makers, hosting, or other third-party infrastructure.
22Changes to these Terms
We can update these Terms when the Service, law, or our operations change. We will change the effective date and provide additional notice where required. If you continue to use the Service after updated Terms take effect, you accept them. If you do not agree, stop using the Service.
23Miscellaneous
- Entire agreement. These Terms, the Privacy Policy, and applicable supplemental rules form the entire agreement about the Service.
- Severability. If a provision is invalid or unenforceable, the remaining provisions continue in effect.
- No waiver. A failure to enforce a provision is not a waiver.
- Assignment. You cannot assign these Terms without our written consent. We can assign them to an affiliate or as part of a financing, restructuring, merger, acquisition, or asset transfer.
- No third-party beneficiaries. These Terms do not give rights to a third party unless they expressly say so.
- Relationship. These Terms do not create a partnership, agency, joint venture, fiduciary, or employment relationship.
